Terms of Service
Terms for the current website and future paid service.
This website is informational today. The planned service uses face-preservation safeguards, requires customer review, and does not guarantee acceptance.
Current website status
Verid Photo does not currently accept uploads, create accounts, process photos, collect payment, or deliver paid outputs. Browsing this site does not purchase a service.
Operator and contact
Verid Photo is operated by Norvane Systems Ltd.
In these Terms, “Verid Photo,” “we,” “us,” and “our” mean Norvane Systems Ltd. when it operates the Verid Photo website and service. Verid Photo is a brand and service name, not a separate contracting party.
Independent photo-formatting service
Verid Photo is an independent technology service. It is not affiliated with or endorsed by any government agency, authority, official, portal, or other receiving organization. It is not their representative, submission service, photography studio, or official tool, and it does not submit a photo or application for the customer. It uses reasonable efforts to format and check selected measurable photo targets for the document type chosen by the customer. It does not certify compliance, guarantee acceptance or successful submission, review an application, provide legal or professional advice, or predict a receiving organization's decision.
External photo and submission requirements can change at any time, including without notice to Verid Photo. The customer must verify the current requirements directly with the receiving or issuing organization, which makes every acceptance and document decision.
Some application rules prohibit or restrict digitally processed photos, including background replacement. The customer must review the current requirements and decide whether to use the result.
Eligibility and photo rights
When the paid service opens, it will initially be offered only to eligible adult customers in the Canadian locations identified at checkout. The customer must own or have every right, permission, consent, and lawful authority needed to upload and use each photo. By uploading a photo, the customer represents and warrants that these requirements are satisfied. For a photo of a child, dependent, or another person, the customer must have permission from that person or the lawful guardian or representative, as applicable.
The customer keeps any rights they hold in the source photo and delivered result. The customer gives Verid Photo only the limited permission needed to analyze, format, store, deliver, support, and delete the photo as described in the Privacy Notice. Verid Photo does not claim ownership of customer photos.
The customer may download, print, copy, resize, or otherwise modify the delivered result for any lawful purpose. Verid Photo does not control how a result is used after delivery. The customer remains responsible for checking whether their use, printing, submission, or later modification meets the requirements that apply to them. A voluntary photo-rejection refund covers only the same delivered result without a material customer modification, as explained in the Refund and Support Policy. A material modification is a customer change reasonably capable of affecting photo compliance; it does not include automatic compression or file handling by the receiving system.
Professional formatting while preserving the face
Verid Photo produces a processed, studio-style digital photo. Processing may include cropping, resizing, orientation correction, background replacement, lighting, colour, white-balance, contrast and shadow adjustments, file conversion, compression, metadata changes, and other non-cosmetic technical image or file processing in the approved recipe associated with the processing-consent version recorded for the upload. This does not authorize intentional beautification, identity-changing edits, or a new use of the photo. If a source image cannot be processed or assessed safely, the service may warn, block, or require a retake.
Verid Photo uses reasonable efforts to preserve facial appearance and identity details and does not intentionally change facial structure, geometry, texture, marks, features, eyes, or expression. The service is designed not to smooth skin, remove blemishes, scars, birthmarks, or other facial details, reshape features, synthesize hair or face detail, or turn a side-facing image into a frontal one. In these Terms, facial retouching means an intentional cosmetic or identity-altering change to facial texture, marks, features, expression, or geometry. Verid Photo does not intentionally perform facial retouching. Automated processing and whole-image lighting or colour adjustments may have unintended visual effects, so the customer must inspect the preview and delivered result before use.
Customer review and responsibility
The customer is responsible for:
- selecting the correct document type and intended use;
- providing an accurate, recent photo that they are entitled to use;
- reviewing the preview and warnings before payment, and the delivered image before submission;
- checking the receiving organization's current photo, file, submission, and printing requirements; and
- deciding whether and how the photo is suitable to use, and submitting it through the correct channel.
Automated checks are best-efforts and cannot evaluate every requirement, printing condition, receiving system, or fact about a submission. Customer review does not remove any mandatory consumer right or excuse Verid Photo from providing the service described at checkout.
Payment, contract, and delivery
Checkout will identify the approved reseller and Merchant of Record. If Paddle is approved and used, it would handle checkout, payment, taxes, receipts, billing support, and approved refunds. Verid Photo would remain responsible for the photo-formatting product, delivery, and product support. The checkout screen would show the total price, currency, taxes, supplier information, and the payment-provider and Verid Photo terms that apply before payment.
Before paying, the customer would be able to review and correct the order summary or decline the order. Completing payment through a button with adjacent acceptance text records the customer's acceptance of these Terms and the Refund and Support Policy and confirmation that they reviewed the preview and its warnings. Verid Photo accepts the order when the payment provider confirms successful payment and Verid Photo displays or sends the order confirmation. If Verid Photo cannot accept or fulfil a paid order, it will not release a paid result and will arrange the appropriate cancellation or refund.
After payment, the reviewed photo would be available for immediate download. A separate transactional email would provide a secure recovery method. The customer would also receive or be able to retain an order confirmation containing the material transaction details and the applicable contract and policy versions. No customer account would be required.
No acceptance guarantee; rejection refund
Verid Photo does not guarantee that a receiving organization will accept a photo or document submission. When the 100% Photo-Rejection Refund is shown at checkout, Verid Photo will provide that refund for a qualifying photo-related rejection of the same materially unmodified delivered photo, as described in the Refund and Support Policy. Paid checkout will not open with this promise until the payment processor supports it. The version accepted at checkout governs that order and will not be reduced by a later processor-policy change. Mandatory refund and cancellation rights are separate and remain available.
Service availability and warranties
Verid Photo will provide the paid service materially as described at checkout. The service depends on internet, hosting, storage, email, and payment providers and may occasionally be unavailable, delayed, suspended, or changed for maintenance, security, provider, legal, or operational reasons.
Except for the express promises in these terms and rights that cannot lawfully be excluded, the service is provided on an "as available" basis. To the fullest extent permitted by law, Norvane Systems Ltd. does not promise that the service will be uninterrupted or error-free, that automated checks will identify every issue, that a result will be compatible with every system or printing process, or that it will be fit for a customer's particular submission or purpose.
Platform rights and prohibited use
Norvane Systems Ltd. and its licensors retain their rights in the Verid Photo name, branding, interface, software, code, and original website content. This does not give Verid Photo ownership of a customer's source photo or delivered result and does not limit the customer's rights in them described above.
Except where applicable law permits otherwise, do not copy or scrape the service, reverse engineer its software, resell or provide unauthorized high-volume access to the service, misuse or share a recovery or download credential, upload an image without authority, impersonate another person, submit unlawful or abusive content, probe or disrupt the service, bypass payment or access controls, or use the service to create or support fraudulent documents.
Verid Photo may refuse or suspend processing, block access, preserve or delete content, or cancel an order where reasonably necessary to enforce these rules, protect people or systems, or comply with law. If a paid order is cancelled, Verid Photo will arrange any refund or other remedy required by the accepted policies or applicable law.
To the extent permitted by law, the customer will indemnify Norvane Systems Ltd. against a third-party claim and reasonable direct defence cost caused by an image the customer had no right to upload, fraudulent or unlawful use of the service, or an intentional attack on the service. Norvane Systems Ltd. will give prompt notice and reasonable cooperation, and will not require the customer to cover a claim to the extent it was caused by Norvane Systems Ltd. The customer may not settle a claim in a way that admits fault by or creates an obligation for Norvane Systems Ltd. without its written consent.
Liability and mandatory rights
To the fullest extent permitted by law, the customer accepts responsibility for selecting the applicable requirements, final review, use, submission, printing, and outcome. Norvane Systems Ltd. is not responsible for a receiving organization's independent decision or for losses caused by incorrect customer selections, inaccurate or unsuitable source material, changes to external requirements after delivery, printing or submission outside the service, later modification of the result, or events outside its reasonable control.
To the fullest extent permitted by law, Norvane Systems Ltd. and its directors, officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, punitive, or exemplary loss; loss of opportunity; or third-party submission, travel, printing, courier, or professional costs. Except to the extent prohibited by law, their total aggregate liability arising from a paid order will not exceed the amount paid for the affected order. This cap does not limit a mandatory refund or other mandatory remedy, or liability that cannot lawfully be limited, including liability for fraud or wilful misconduct.
Nothing in these terms excludes or limits liability, warranties, cancellation rights, refunds, privacy rights, or other remedies that cannot lawfully be excluded. The photo-rejection refund, remedies for non-delivery or a materially defective service, and mandatory legal rights remain available as stated in the applicable policies.
Governing law, complete agreement, and changes
These website terms are governed by the laws of British Columbia and Canada, without removing mandatory rights that apply elsewhere. The version accepted at checkout, the order disclosures, the Privacy Notice, and the Refund and Support Policy form the supplier agreement for the paid service, alongside any separate payment-processor buyer terms.
If any provision is unenforceable, it will be limited only as much as necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. Material changes will receive a new effective date and version and will not retroactively reduce an existing customer's rights. We will publish the final paid-service terms before checkout becomes available, and paid customers will be shown the version that applies before purchase.
